1. Acceptance of Terms

By accessing or using InsiderEdge ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and InsiderEdge LLC ("we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

InsiderEdge is a financial data research platform that aggregates and scores publicly available information including SEC Form 4 insider purchase filings, STOCK Act congressional trade disclosures, analyst price targets, and related market data. The Service presents this information with a proprietary scoring system to help users identify and track potentially significant trades.

3. Not Financial Advice

INSIDEREDGE IS A DATA AND RESEARCH TOOL ONLY. NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER FORM OF ADVICE. All signals, scores, price targets, stop-loss levels, and analysis are provided for informational and educational purposes only. InsiderEdge is not a registered investment advisor, broker-dealer, or financial planner. Past signal performance does not guarantee future results. You are solely responsible for any investment decisions you make. Always conduct your own research and consult a licensed financial professional before making any investment decisions.

4. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. The Service is intended for users in jurisdictions where access to financial data tools is lawful. It is your responsibility to ensure your use complies with applicable local laws.

5. Subscriptions and Billing

InsiderEdge offers both free and paid subscription tiers. Paid plans are billed on a monthly recurring basis via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' notice to active subscribers. All fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of any regulations; (b) reverse engineer, scrape, or extract data from the Service in bulk; (c) resell, sublicense, or redistribute Service data without written permission; (d) use automated tools to make excessive API requests in a manner that burdens our infrastructure; (e) attempt to gain unauthorized access to any part of the Service or its underlying systems; (f) use the Service to engage in market manipulation, front-running, or any activity prohibited under securities laws; (g) submit false or fabricated trade data to the community signal system.

7. Data Sources and Accuracy

The Service aggregates data from publicly available sources including the SEC EDGAR database, CapitolTrades, Finnhub, and third-party news providers. While we strive for accuracy, we do not guarantee that any data, score, or analysis is complete, timely, or error-free. Congressional trade disclosures may lag actual transactions by up to 45 days under STOCK Act requirements. Market data is provided for general informational purposes and may be delayed. You should independently verify any data before relying on it for any purpose.

8. Intellectual Property

The InsiderEdge platform, including its scoring algorithms, software, design, and proprietary analysis, is owned by InsiderEdge LLC and protected by applicable intellectual property laws. The underlying data sources (SEC filings, congressional disclosures, market prices) are public domain. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes, subject to these Terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIDEREDGE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless InsiderEdge LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, at our sole discretion. Grounds for termination include, but are not limited to, violation of these Terms, abuse of the platform, or non-payment. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Oregon. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
